Right now there are thousands of brokers sitting on hundreds of BG's. MTN's notes etc all looking for buyers. The buyer is the key not the seller.

These brokers will continue to sit on these pieces of paper simply because they think that they can approach a securities broker and demand that their BS forms and procedures are completed.

Never going to happen and yet they spend years trying.

Most have never actually completed a transaction and nor will they. This myth that holding a BG or MTN gives you some sort of rights continues to be perpetuated and is solely rersponsible for brokers not making money.

OK lets get down to the reality of things.

1. A securities broker is just not going to deal with anyone, they like to know who they are dealing with. 2. A securities broker is not going to spend their days completing LOI's, FPA's, signing off on procedures etc etc and is even less inclined to even open such files when they do not even know if the buyer is real or the sellers instrument is valid and more importantly available.

The securities broker has spent a lifetime developing contacts both on the buy and sell side much like an investment banks develops its investor database. The business is built on trust and relationships.

No securities broker wants to circumvent anyone, it is the worse thing they could do, business would simply dry up.

You can foget asking a securities broker for their buyer bank officer details or even their seller bank officer details. They are not going to give you anything until they know that the paper is real or the buyer has the funds. The securities broker holds the real power and getting to one is a privilege not something you can simply demand.

You want to sell your paper then you must provide the term sheet and the sellers Bank Officer co-ordinates.

You want to buy something then you must provide a description of the paper you want, the amount you want and your bank officer co-ordinates.

In the first case the securities broker will check to see if the instrument is valid and available. In the second case the securities broker will check that the buyer has means to close the purchase order.

Once a genuine contract can be made an Irrevocable Fee Pay Agreeement and Purchase Order will be issued. Everyone involved should be paid, securities brokers insist on it, they have to to make sure no-one has a gripe.

The FPA is often published and follows the following pattern: Our Standard FPA Arrangements:

Buy Paper-(FPA Buy Side: Group 1 Buyers Mandate, Group 2 OLC, Group 3 Securities Broker - MASTER PAYMASTER IS THE PAPER BUYER)

Sell Paper-(FPA Buy Side: Group 1 Referring Group, Group 2 OLC, Group 3 Securities Broker - MASTER PAYMASTER IS THE SECURITIES BROKER)

Want to know why brokers do not complete transactions here are a few common reasons...... 1. They expect a securities broker to provide buy sell details before the broker can even confirm if a contract is doable. 2. Demand a pils of BS broker forms be completed before they submit a term sheet. 3. Pretend they are the buyer of the seller or another broker in the chain is the buyer or the seller - never works because when you get down to it only real buyers and real sellers can instruct thier bank officers to complete the transaction. 4. Have an inordinate amount of fear about circumvention. 5. Do not read email replies and continue to insist that their procedures be followed. 6. The brokers have no idea who the actual buyer or seller is. 7. Cannot build a relationship because they cannot trust.

Contrary to popular belief I do not enjoy sending out emails that say, hey sorry you cannot read please do not contact me again. It is necessary or I spend hours answering emails from brokers demanding this or that, stating this or that and this can go on for weeks so no more, once it become obvious that no matter how I rerspond I simply am not going to change what the broker does they get the do not contact me again email.

Now I am a broker, I am not a securities broker but the securities broker we deal with will now only deal with the OLC because we do not send them piles of BS forms we just send the term sheet/ buyers spec sheet and the seller/buyers Bank officer co-ordinates.

Do not need LOI's. do not need passports, do not need an FPA we have our own which we issue for signing once a deal is doable and not before.

Want to change your success rate then get out of the broker BS loop and send the information that is needed, no more no less. You would be surprised how many deals you start to close.

CD wanted at 8% with a 100% back to back loan at 10%

1. When buying - Reference the instrument of interest, supply amount wanted and BUYERS BANK OFFICER CO-ORDINATES (Bank Name, Address, Bank Officer Name + contact number)

2. When selling - Send sanitized terms of instrument offered ALONG WITH SELLERS BANK OFFICER CO-ORDINATES. (Bank Name, Address, Bank Officer Name + contact number)

3. When requesting we locate or have a new instrument created - SEND BUYERS BANK OFFICER CO-ORDINATES we will then 'Bank to Bank' get proof of capability and present offers for the buyers consideration.

The golden rule is..no bank officer co-ordinates = no deal.

From today we will only accept BG's offered for sale from brokers where the SELLERS Bank Officer co-ordinates are provided. When we issue instruments for sale to your offices we will also forward those co-ordinates so the buyers bank officer can make bank to bank confirmation of the instrument validity.

Conversely we will require any interested buyer to provide their Bank Officers co-ordinates so that the sellers bank officer can confirm available funds to complete the contract.

We would also expect any interested buyer to sign an FPA.

These are the only conditions on which we will conduct business from this point on.

The procedures are standard DVP Block and Pay (Bank Officer to Bank Officer). You DO NOT have to disclose your bank account details, passport number etc to the intermediaries, this is all BS. The whole thing is Bank to Bank confirmations of both the Funds to close and the Instrument validity.

Standard FPA applies and is adhered to as follows: (A) FPA Agreement On Purchase of OLC Supplied Instruments by Direct Request or from our Web Site 1. Standard FPA agreements would allow for a 1% commission to be split between the buy side and the sell side. 0.5% to Sell Side - Normally closed. 0.5% to Buy Side
2. The Buy Side commission of 0.5% is then split into 3 groups each earning 0.1666% Group 1 - Referral Network (Broker chain that is marketing the instrument) Group 2 - OLC

Jokers NOTE: you will not be able to follow this procedure because you will never be able to provide the necessary bank to bank proofs so keep your proposals to yourself.

***** When requesting instruments from the OLC please note the following: 1. We are first party on the Buy side not the Sell side, sorry for any past confusion. 2. New Issue Notes are Primary Market Instruments and do NOT have an ISIN until the note is issued but will have an ISIN on issuance. 3. These instruments are supplied by a broker just like you so no dirty tricks please. The OLC has NEVER circumvented nor will we ever do so, nor do we expect those who buy or sell instruments through the OLC to do so. We are happy to sign a FPA and a non-circumvent as and when needed.

****** Notes for Both Buyers and Sellers - i) Those who supply the OLC with instruments have those instruments verified, if they are not real we will not offer them. ii) We expect buyers to be able to disclose bank details so we can ensure they have the financial capability to buy. iii) Brokers should know what their buyers want, please no more buyers who think they are at a fire sale. We only deal in quality instruments. iv) Commissions - as a rule the total commission payable on both buy and sell sides is 1%. The sell side generally gets half of this (0.5%). The buy side is usually split into 3 groups which all get one third of the other half a percent. (One sixth of a percent per group) The referral group is the first group and they are usually the broker chain who submit the instruments. The second group is the OLC JV Partners and the third group is the buyers mandate. It does not matter if it is a buy or a sell transaction unless you actually created the instrument or are the sell side mandate you will be positioned on the buy side in one of the groups. (referral chain or Buyers Madate). Each group individually decides who in the group gets what from their one third of half a percent and appoints a paymaster for the group. The buyer is a the master paymaster responsible for sending commissions to the various group paymasters. v) Transactions are normally

C - Bloomberg Officer to Bloomberg Oficer. vi) The OLC does not deal with secret societies so if you are not happy to disclose the information needed to make the transaction then please do not waste our time. Our primary objective is to verify the instrument, verify the buyer and put the buyers mandate and sellers mandate together asap so that the principals can then close the transaction and EVERYONE gets paid.

FYI - we have a lot of contacts in various Bank investigation units, most have a library of fraudulent instrument, we all enjoy getting a new one to add to the various libraries but be assurred, all that will happen is that your details along with the fraudulent paper you have sent will be known by the applicable banks. You will get an email from us telling you not to contact the OLC again. For Example - Mr. Swaran Ram [mailto:ssesexports@gmail.com] your fraudulent UBS instrument was recognised immediately and is not new, it was already in the library at UBS. This person may simply be a joker broker who did not even undertake the basic due diligence before he sent the document to us who knows? we never will because we will never do business with this person again, how could we every trust anything that was sent to us. You really should take care, you can ruin your reputation with one piece of fraudulent paper.
